Terms of Service

This Terms of Service Agreement ("Agreement") is between Crimix LLC ("Crimix," "we," "us") and the individual or business entity ("Client," "you") that subscribes to Crimix services through our website or checkout process. By completing checkout or using Crimix services, you agree to this Agreement.
1. Services
Crimix provides website design, development, hosting, and ongoing content services for HVAC contractors. The services included in your subscription are determined by the plan you select at checkout. Plan details are as follows:

All content is written by HVAC industry experts and is produced with the goal of generating leads. Content published under Professional and Premium plans may include service articles, location-specific pages, industry guides, and related content as determined by Crimix.
2. Payment and Billing
2.1 Monthly Fee. Your subscription fee is charged monthly based on the plan selected at checkout, as shown in Section 1.
2.2 Automatic Billing. Payment is billed automatically each month on the same calendar day as your initial charge. By subscribing, you authorize Crimix to charge your payment method on file each billing period.
2.3 Free Trial. If a free trial period was offered at the time of your signup, you will not be charged during the trial. At the end of the trial period, your subscription automatically converts to a paid plan at the applicable monthly rate. No action is required on your part to continue service. Trial days do not count toward the ownership threshold described in Section 6.
2.4 Non-Refundable. All charges are non-refundable. Failure to maintain a valid payment method may result in immediate suspension of services.
3. Term and Cancellation
3.1 Month-to-Month. This Agreement is month-to-month with no minimum commitment beyond the current billing period.
3.2 Cancellation. You may cancel at any time through your Stripe billing portal. Your subscription and services will remain active through the end of the current paid billing period, after which no further charges will occur.
3.3 Cancellation During Trial. You may cancel at any time during a free trial period at no charge. Upon cancellation during a trial, services end immediately.
4. Website Delivery
4.1 Questionnaire. Following signup, you will receive a link to a new client questionnaire. Your website build begins upon Crimix's receipt of your completed questionnaire. Delays in completing the questionnaire will delay your site launch.
4.2 Site Delivery. Your website will be delivered within 3 business days of receiving your completed questionnaire.
4.3 DNS Setup. As a courtesy, Crimix will configure DNS on your behalf if you provide access to your domain management portal. If you prefer to manage DNS yourself, Crimix will provide the necessary DNS records. Domain registration and ongoing renewal remain your responsibility in either case.
5. Content Services
5.1 Delivery Schedule. For plans that include ongoing content, publishing begins the week after your site goes live. Content frequency is as specified in Section 1 for your plan. Content length and format are determined by Crimix.
5.2 Minor Edits. Minor content corrections, phone number updates, photo swaps, and small wording changes are included. Other modifications may be offered for an additional fee.
5.3 Exclusions. The following are not included in any plan: paid advertising management, backlink campaigns, reputation management, competitor analysis reports, custom technical SEO audits, CRM setup or integration, logo or brand design, custom software development, or content outside the HVAC industry.
6. Website Ownership
6.1 Your Content. You retain ownership of your business name and any original content you provide to Crimix.
6.2 Website Transfer. Your website and related deliverables remain the property of Crimix until twelve (12) consecutive full-price monthly payments have been made and all outstanding balances are paid in full. Upon reaching that threshold, ownership of the site transfers to you, excluding Crimix's proprietary systems, frameworks, and internal tooling.
6.3 Trial Periods. Months during a free trial do not count toward the twelve (12) payment threshold in Section 6.2.
7. Client Responsibilities
You agree to:
- Provide accurate business information, logos, photos, and branding materials when requested
- Ensure all content and claims on your website are accurate and lawful
- Maintain required business licenses and insurance coverage
- Notify Crimix of changes to your service offerings or contact information
- Maintain your domain name registration with your registrar of choice
8. Hosting and Technical
8.1 Hosting. Crimix provides hosting including uptime monitoring and technical maintenance.
8.2 Third-Party Outages. Crimix is not responsible for outages or failures caused by third-party hosting vendors, domain registrars, DNS providers, or internet service providers.
9. No Performance Guarantee
Crimix does not guarantee specific search engine rankings, website traffic levels, lead volume, or revenue outcomes. Search visibility depends on market competition, domain authority, content history, and other factors outside of Crimix's control.
10. Limitation of Liability
Crimix is not liable for lost revenue, lost profits, third-party outages, or indirect or consequential damages of any kind. Crimix's total liability to you shall not exceed the total amount you paid to Crimix in the three (3) months preceding the claim.
11. Governing Law
This Agreement is governed by the laws of the State of Florida. Any disputes arising from this Agreement shall be resolved in St. Lucie County, Florida.
12. Updates to This Agreement
Crimix may update these terms from time to time. Updated terms will be published at a new version URL (e.g., /terms-of-service/v2/). Your continued use of services after the effective date of updated terms constitutes acceptance. If you do not agree to updated terms, you may cancel before your next billing period.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and Crimix and supersedes all prior discussions, representations, or agreements relating to the services described herein.
